Paramount Skydance extends debt offer deadlines to July 31
Paramount Skydance Corporation (NASDAQ: PSKY) has extended the expiration dates for its previously announced tender offers and exchange offers related to notes issued by Discovery Global Holdings, Inc. and Discovery Communications, LLC, both subsidiaries connected to Warner Bros. Discovery, Inc.
The new expiration deadline is 5:00 p.m. New York City time on July 31, 2026, unless further extended. Settlement is anticipated to occur in the third quarter of 2026, promptly after the expiration date. This marks the fourth extension, following prior extensions on June 12, June 26, and July 13, 2026.
Paramount stated it anticipates continuing to extend the deadline to align with the closing of its proposed acquisition of Warner Bros. Discovery. The tender offers cover notes with aggregate principal amounts including $1.23 billion in 3.950% Senior Notes due 2028 and $1.19 billion in 3.755% Senior Notes due 2027, among others. The exchange offers cover multiple series of notes with maturities ranging from 2029 to 2052, including euro-denominated notes.
As of 5:00 p.m. on July 16, 2026, approximately 66.16% of the aggregate principal amount of existing tender offer notes and 75.95% of existing exchange offer notes had been validly tendered. Paramount noted these figures are not considered representative of the final results, given the anticipated further extensions.
Holders may withdraw tendered notes at any time prior to the expiration date. BofA Securities and Citigroup are serving as dealer managers for the offers.
