ME Therapeutics closes $576,500 private placement on CSE

ME Therapeutics Holdings Inc. (CSE: METX) (FSE: Q9T), a Vancouver-based biotechnology company, has closed a non-brokered private placement raising $576,500.60.



The financing consisted of 339,118 units priced at $1.70 per unit. Each unit includes one common share and one non-transferable warrant exercisable at $2.00 per share for three years. An acceleration clause allows the company to shorten the warrant expiry with 30 days' notice if the volume-weighted average share price reaches $3.00 for ten consecutive trading days. All shares and warrants are subject to a hold period of four months and one day from issuance.



The company said proceeds will be directed toward research and development, strategic transactions, a potential U.S. listing, marketing, investor relations, and general corporate purposes.



The financing involved related party participation. Director John Priatel purchased 294,118 units for $500,000.60. Following the transaction, Priatel beneficially owns 4,469,261 common shares, 294,118 warrants, and 250,000 stock options, representing approximately 16.21% of issued and outstanding shares on a partially diluted basis.



Separately, ME Therapeutics granted 2,047,500 stock options to directors, officers, employees, and consultants at an exercise price of C$1.99 per share. Of these, 1,925,000 options were issued to directors and officers, vest immediately, and are exercisable for five years. The remaining 122,500 options, granted to employees and consultants, vest over 12 months and are exercisable for three years.
