Resources Connection secures $30 million revolving credit facility with PNC Bank

Resources Connection, Inc. (NASDAQ: RGP) entered into a revolving credit facility on July 15, 2026, with PNC Bank, National Association acting as agent for a group of lenders.

The Credit Facility provides secured revolving loans up to the lesser of $30 million or a borrowing base tied to eligible receivables. It includes a $5 million sublimit for standby letters of credit and a $15 million sublimit for swing loans. The facility also carries an uncommitted option to increase revolving loans by up to an additional $20 million prior to the third anniversary of the closing date, with no more than two such increases permitted during the term.

Proceeds may be used for working capital, capital expenditures, fees and expenses related to the transaction, letters of credit reimbursements, and permitted dividends and distributions. The facility is scheduled to mature on July 15, 2031.

Borrowings will bear interest at either Term SOFR plus a margin of 1.75% to 2.25%, or the Alternate Base Rate plus a margin of 0.75% to 1.25%, with the applicable margin determined by the company's Consolidated EBITDA. The obligations are secured by substantially all assets of Resources Connection and its domestic subsidiaries.

The facility contains standard covenants restricting the company's ability to incur liens, take on additional debt, execute mergers or consolidations, and dispose of assets. Financial covenants require the company to maintain a minimum fixed charge coverage ratio and minimum liquidity levels. Lenders may terminate the facility and accelerate repayment upon an event of default.
