Kennedy Wilson launches $200M add-on senior notes offering
Kennedy-Wilson, Inc., a subsidiary of Kennedy-Wilson Holdings, Inc. (NYSE: KW), has commenced a private offering of $200 million in additional senior notes, according to a press release statement.
The offering consists of additional 7.250% senior notes due 2033 and/or additional 7.000% senior notes due 2031, structured under Rule 144A and Regulation S of the Securities Act of 1933.
The new notes are add-ons to existing series issued on May 29, 2026, which totaled $700 million of 7.250% senior notes due 2033 and $1.1 billion of 7.000% senior notes due 2031. The additional notes will be treated as part of the same series as the existing notes, sharing identical terms except for issue date and initial price.
The notes will be fully and unconditionally guaranteed on an unsecured basis by Kennedy-Wilson Holdings and certain subsidiaries. The guarantees will rank equally with all existing and future senior indebtedness of the guarantors.
Kennedy Wilson intends to use the net proceeds to repay a portion of outstanding indebtedness under its unsecured revolving credit facility. The company noted there is no assurance the offering will be completed.
The notes are being offered only to qualified institutional buyers and certain non-U.S. persons, and have not been registered under the Securities Act.
