Q32 Bio prices $200 million stock offering at $18.25 per share
Q32 Bio Inc. (Nasdaq: QTTB), a clinical-stage biotechnology company based in Waltham, Mass., has priced an underwritten public offering of common stock and pre-funded warrants expected to raise approximately $200 million in gross proceeds.
The offering includes 6,027,399 shares of common stock at $18.25 per share and pre-funded warrants to purchase 4,931,506 shares at $18.2499 per warrant. Q32 Bio has also granted underwriters a 30-day option to purchase up to an additional 1,643,835 shares at the public offering price, less underwriting discounts and commissions. The offering is expected to close on or about July 16, 2026.
Morgan Stanley, Jefferies, and Cantor are acting as joint book-running managers. Oppenheimer & Co. is also serving as a book-running manager, and H.C. Wainwright & Co. is acting as lead manager.
According to the company's press release, Q32 Bio intends to use the net proceeds for working capital, including research, clinical development, and commercialization efforts, specifically to advance its drug candidate bempikibart into future clinical trials. Bempikibart is a fully human anti-IL-7Rα antibody currently in a Phase 2 program for the treatment of alopecia areata.
The securities are being offered under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on June 25, 2026, and declared effective on July 13, 2026.
