Banzai International closes $0.9M public offering at $2.75 per share
Banzai International, Inc. (NASDAQ: BNZI) closed an underwritten public offering on July 14, 2026, raising approximately $0.9 million in gross proceeds before underwriting fees and other expenses, according to a press release from the company.
The offering consisted of 327,273 shares of Class A common stock priced at $2.75 per share. The company said it intends to use the net proceeds for working capital and general corporate purposes.
Aegis Capital Corp. was granted a 45-day option to purchase up to an additional 36,364 shares of common stock solely to cover over-allotments, if any, at the public offering price less the underwriting discount. Aegis Capital Corp. served as the sole book-running manager for the offering.
The offering was made under a shelf registration statement on Form S-3 previously filed with the U.S. Securities and Exchange Commission and declared effective on August 8, 2025.
