Banzai launches $1M public offering of Class A common stock
Banzai International, Inc. (NASDAQ: BNZI) has announced a proposed underwritten public offering of its Class A common stock, or pre-funded warrants in lieu thereof, targeting approximately $1 million in aggregate proceeds.
The offering size reflects the maximum amount the Seattle-based company is permitted to sell under "baby shelf" rules tied to its effective shelf registration statement on Form S-3, which was declared effective by the U.S. Securities and Exchange Commission on August 8, 2025.
Banzai stated it intends to use net proceeds for working capital and general corporate purposes. Aegis Capital Corp. is serving as the sole book-running manager for the offering.
The company noted the offering remains subject to market and other conditions, with no assurance provided as to whether or when it may be completed, or its final size and terms.
