Roadzen to acquire European car rental insurance MGA for $15M
Roadzen Inc. (Nasdaq: RDZN) has signed a definitive agreement to acquire a European managing general agent specializing in short-term car rental insurance, according to a company statement issued July 9, 2026.
The acquisition will be made through Roadzen's India subsidiary, Roadzen Technologies Limited, which is 92% owned by Roadzen Inc. Total consideration is approximately $15 million, with 50% payable at closing and the remaining 50% structured as a three-year earn-out tied to performance milestones. Sellers may elect to receive equity in Roadzen India, based on a valuation of approximately $280 million, or cash. The transaction is not expected to be dilutive to Roadzen's Nasdaq shareholders.
The target company writes approximately 800,000 policies annually through embedded API integrations with rental car partners across multiple European markets, as well as through a direct-to-consumer platform. It is expected to generate approximately $18–20 million in revenue and approximately $1.6–2 million in EBITDA in its current fiscal year. The company carries no debt, generates positive free cash flow, and operates with a team of approximately 20 people. It holds regulatory authorization in the European Union and the United Kingdom.
Roadzen said it plans to apply its artificial intelligence and computer vision technology to the acquired platform's underwriting and claims processes. The company's existing technology assesses rental vehicle condition from images before and after each trip.
Rohan Malhotra, Founder and CEO of Roadzen, said the acquisition targets an opportunity to shift the business from static pricing to real-time, dynamic pricing at the point of sale, combining the target's distribution scale with Roadzen's AI capabilities.
The name of the acquired company will be disclosed upon closing, which is anticipated in the early fourth quarter of the calendar year. Revenue and EBITDA figures cited are currently unaudited and subject to change pending completion of a final audit.
