Rivian prices $1.16B stock offering at $15.50 per share
Rivian Automotive (Nasdaq: RIVN) has priced a public offering of 75 million shares of common stock at $15.50 per share, generating approximately $1.2 billion in gross proceeds before underwriting discounts, commissions, and other expenses.
The company has also granted underwriters a 30-day option to purchase up to an additional 11.25 million shares at the same offering price, less underwriting discounts and commissions. All shares in the offering are being sold by Rivian.
The closing of the offering is expected on July 9, 2026, subject to customary closing conditions. Rivian said it intends to use net proceeds for general corporate purposes, including funding equity contributions under an Amended and Restated Loan Arrangement and Reimbursement and Sponsor Support Agreement with the U.S. Department of Energy.
Goldman Sachs, Allen & Company, Barclays, J.P. Morgan, Morgan Stanley, and Wells Fargo Securities are serving as joint book-running managers. Several additional bookrunners, co-managers, and junior co-managers are also participating in the offering.
The offering is being made under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on April 30, 2026.
