VSee Health issues two convertible notes totaling $575,550

VSee Health (NASDAQ: VSEE) entered into two separate convertible note agreements with institutional investors in June 2026, raising a combined $575,550 in principal.

On June 22, 2026, the company signed a securities purchase agreement with an investor identified as ClearThink, issuing an unsecured convertible note with a principal amount of $280,000, which includes an original issue discount of $30,000. The note carries a one-time 10% interest charge applied at issuance and matures on June 22, 2027. The note becomes convertible into common stock 180 days after issuance at 85% of the lowest closing price over the prior 10 trading days, with a floor price of $0.01 per share. Conversion is capped to prevent ClearThink from holding more than 4.99% of outstanding shares.

On June 18, 2026, VSee Health entered into a separate agreement with an investor identified as Vanquish, issuing an unsecured convertible note with a principal amount of $295,550, including an original issue discount of $38,550. That note carries a one-time 12% interest charge and matures on April 15, 2027. The Vanquish note is convertible at 75% of the lowest closing bid price over the prior 10 trading days, subject to the same 4.99% beneficial ownership cap. The conversion price will not be adjusted in the event of a reverse stock split.

Both notes are unsecured. VSee Health retains the right to prepay the ClearThink note at any time without penalty. Details of both agreements were disclosed in a Current Report on Form 8-K filed with the Securities and Exchange Commission.
