Prestige Consumer Healthcare closes LaCorium deal, prices $400M notes

Prestige Consumer Healthcare Inc. (NYSE: PBH) completed its acquisition of LaCorium Health on July 1, 2026, for approximately $150 million in cash, financed through cash on hand and existing credit facilities, according to a company statement.



LaCorium, founded in Australia in 1998, sells therapeutic skin care products under the Dermal Therapy, Flexitol, and Crampeze brands across categories including lip care, skin care, foot care, and hair and scalp treatments. Approximately 75% of its sales are generated in Australia. The company generates approximately $40 million in annual revenue and is expected to produce roughly $12 million in EBITDA once fully integrated, including anticipated synergies.



Separately, Prestige priced a private offering of $400 million in aggregate principal of 6.25% senior notes due 2034. The sale is expected to close on or about July 15, 2026, subject to customary closing conditions. The notes will be senior unsecured obligations of Prestige Brands, Inc., guaranteed by the company and certain domestic subsidiaries.



Prestige intends to use the net proceeds, along with cash on hand, to redeem all $400 million of its outstanding 5.125% senior notes due January 2028, and to pay related fees and expenses. The notes are being offered only to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and have not been registered under that act.



The company also announced it will release first quarter fiscal 2027 earnings before market open on August 6, 2026, followed by a conference call at 8:30 a.m. ET the same day.
