Quantum Cyber disputes short-seller report, cites legal review

Quantum Cyber N.V. (Nasdaq: QUCY) said it has retained investigative and litigation specialist firms and is assessing damages in response to a short-seller report that the company claims contains materially misleading characterizations of its capital structure, business strategy, and technology relationships.

The company, which describes itself as an autonomous defense technology firm, said its capital structure is fully disclosed in its filings with the U.S. Securities and Exchange Commission and is not "hidden" as the report alleged. Quantum Cyber also stated that following the full exercise of its outstanding warrants, it received gross proceeds of over $15,000,000, and that its capitalization table is debt-free.

The company said the $6,000,000 referenced in the short-seller report represents capital invested by Chief Executive Officer David Lazar to fund operations, and that as an officer and director, Lazar is subject to Section 16 of the Securities Exchange Act of 1934 and applicable insider-trading restrictions.

Quantum Cyber also addressed questions raised about its relationship with BP United Inc., stating that the two parties executed amendments to an Intellectual Property License Agreement under which Quantum Cyber assumed direct manufacturing responsibility for licensed drone products.

Regarding "Project LightShift," the company said it executed a definitive Intellectual Property License Agreement in June 2026 securing exclusive worldwide rights to patent-protected quantum photonic array technology for defense drone applications.

The company clarified that its board approved engaging investment banking professionals to explore a potential equity stake in Space Exploration Technologies Corp., and that no purchase of SpaceX shares at any specific price was announced.

"Our capital structure is disclosed in our SEC filings, I have no path or plan to dilute our free trading floats, our balance sheet is debt-free, and our technology is backed by signed agreements, patent filings, and scientists with verifiable, decades-long track records," Lazar said in a statement included in the press release.
