Faraday Future schedules stockholder meeting, eyes name change
Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) has scheduled a special meeting of stockholders for August 12, 2026, at which shareholders will vote on three proposals, including a private placement and a corporate name change.
According to a preliminary proxy statement filed with the Securities and Exchange Commission on July 2, 2026, the three proposals are: approval of common stock issuance to holders of certain convertible notes under Nasdaq Listing Rule 5635(d); an amendment to the company's certificate of incorporation to change its name to Faraday Future Physical AI Ecosystem Inc.; and a potential adjournment of the meeting if sufficient votes are not obtained.
The company stated that approval of the private placement proposal would help it meet contractual obligations and support capacity expansion for its robotics business. The board of directors urged all stockholders to vote in favor of all proposals.
The company also reported that cumulative shipments of its EAI robots reached 242 units from March through June 2026, exceeding an original target of 220 units. As a result, the company raised its full-year shipment target from 1,500 units to 2,000 units.
The special meeting is scheduled for 9:00 a.m. Pacific Time and will be held virtually. The definitive proxy statement is expected to be mailed to stockholders on or around July 15, 2026.
