Ecolab closes CoolIT acquisition for $4.75 billion

Ecolab (NYSE: ECL) has completed its acquisition of CoolIT Systems, a provider of direct liquid cooling for high-density data centers, for approximately $4.75 billion. The transaction closed earlier than initially expected, according to a company statement.

CoolIT's year-to-date sales have grown more than 100%, driven by demand for liquid cooling in AI data centers. The acquisition brings Ecolab's Global High-Tech business to approximately $1.5 billion in annualized 2026 sales, up from roughly $150 million in 2021. Ecolab is targeting $4 billion in annual sales for that segment by 2030, with operating income margins of 25%.

Ecolab plans to introduce a 3D TRASAR cooling platform at the Supercomputing conference in Chicago in November 2026, combining CoolIT hardware — including cooling distribution units and cold plates — with digital optimization software and cooling fluids. The company said the platform is applicable for Nvidia architectures including Vera Rubin and Grace Blackwell.

Nvidia's Ali Heydari and Saket Karajgikar said in a statement that Ecolab and CoolIT have "consistently demonstrated strong technical expertise, innovation, and responsiveness" across liquid-cooling initiatives spanning Nvidia engineering labs and large-scale AI infrastructure deployments.

Reflecting the acquisition's close, Ecolab updated its 2026 adjusted diluted EPS guidance to a range of $8.03 to $8.23, representing growth of 7% to 9% versus 2025. The company noted a short-term impact of $0.20 per share in each of the third and fourth quarters of 2026, primarily from non-cash amortization and financing costs.

For the second half of 2026, Ecolab expects organic sales growth to accelerate to the 6% to 7% range. Beyond 2026, the company projects adjusted EPS growth to return to the 12% to 15% range as CoolIT contributions increase and amortization from the Nalco acquisition rolls off in 2027.
