Eos Energy launches rights offering at $5.481 per unit

Eos Energy Enterprises (NASDAQ: EOSE) has commenced a rights offering, distributing subscription rights to holders of its common stock and certain warrants as of July 1, 2026.

According to a press release, the company will distribute rights to acquire an aggregate of 27,367,171 units at $5.481 per unit. Each unit consists of one share of common stock and 0.4388 of a warrant to purchase one share of common stock at an exercise price of $5.481 per whole share.

Eligible holders receive one right for each share or participating warrant held as of the record date, with approximately 14 shares or warrants required to acquire one unit. The offering also includes an over-subscription privilege allowing eligible holders who exercise their basic subscription rights in full to purchase additional units up to 200% of their basic subscription right, subject to availability and allocation.

Eos has applied to list the rights on the Nasdaq Capital Market under the symbol "EOSER," with trading expected to begin July 6, 2026. The company has also applied to list the warrants under the symbol "EOSEW." No assurance has been given that either listing application will be approved.

The rights offering is set to expire at 5:00 p.m. Eastern time on July 21, 2026. The company intends to use net proceeds to fund its previously announced investment in Frontier Power USA Parent, LLC.

The offering is being conducted under an effective shelf registration statement filed with the Securities and Exchange Commission.
