Viatris refinances ¥40 billion Japanese yen term loan facility
Viatris Inc. (NASDAQ: VTRS) entered into an amended and restated term loan credit agreement on July 1, 2026, with Mizuho Bank, Ltd. serving as administrative agent.
The agreement provides for a ¥40,000,000,000 senior unsecured term loan facility, the proceeds of which will be used for general corporate purposes, including repayment of an existing ¥40,000,000,000 unsecured term loan facility originally dated July 1, 2021.
The facility will initially bear interest at the TIBO Rate plus 1.10% per annum, with the applicable margin subject to adjustment based on Viatris' long-term unsecured senior debt ratings from S&P Global Ratings, Moody's Investors Service, and Fitch Ratings.
The facility is guaranteed by Mylan Inc., Utah Acquisition Sub Inc., and Mylan II B.V., along with any future Viatris subsidiary that guarantees third-party indebtedness exceeding $500,000,000, subject to certain exclusions.
The agreement includes a financial covenant requiring Viatris to maintain a leverage ratio no greater than 3.75 to 1.00 as of the last day of each fiscal quarter following the closing date. Borrowed amounts mature three years from the closing date and may be voluntarily prepaid without penalty, excluding customary breakage costs.
