Oryzon Genomics, S.A. (ISIN: ES0167733015, ORY) completed a €12 million gross capital increase on July 1, 2026, through the issuance of 4,444,445 new ordinary shares priced at €2.70 per share.

The subscription price represents a 14.15% discount to the five-day volume-weighted average price of €3.1449 and a 12.68% discount to the June 30 closing price of €3.092. The offering was structured as a capital increase without the issuance of warrants. Singular Bank acted as placement agent in Spain, and All-Invest acted as placement agent in the EU and the UK.

According to a press release, proceeds will be directed toward advancing the clinical development of iadademstat for acute myeloid leukemia, progressing other clinical programs in hematology and psychiatry, and covering general and administrative expenses.

Separately, Oryzon signed a share subscription agreement with the Social Impact Fund, managed by Compañía Española de Financiación del Desarrollo (COFIDES), under Spain's Recovery, Transformation and Resilience Plan, financed through the European Union's NextGenerationEU program. The fund has committed to invest up to €25 million in future Oryzon capital increases, subject to corporate, financial, business, and impact-related conditions.

The commitment applies to any capital increase Oryzon undertakes within six months of the agreement's execution, with a possible extension by mutual consent. At least 40% of the proceeds from that future investment must be allocated to mental health programs, including the company's borderline personality disorder program.
