Optimum subsidiary to buy 120M shares at $2.50 in oversubscribed tender

CSC Investments II LLC, a wholly owned subsidiary of Optimum Communications, Inc. (NYSE: OPTU), announced preliminary results of a tender offer that expired June 30, 2026.

According to a preliminary count by depositary Equiniti Trust Company, LLC, approximately 254,956,213 shares of Optimum's Class A Common Stock were validly tendered at a purchase price of $2.50 per share. That total includes 20,062,734 shares tendered through notice of guaranteed delivery.

Because the offer was oversubscribed, CSC Investments II expects to accept 120,000,000 shares on a pro rata basis, at an aggregate cost of approximately $300,000,000, excluding fees and expenses. The preliminary proration factor is approximately 47.1%. Odd-lot tenders will be accepted in full. Conditional tenders that went unsatisfied will be treated as withdrawn.

The shares expected to be purchased represent approximately 42.5% of Optimum's shares issued and outstanding as of June 30, 2026.

The preliminary figures are subject to change pending confirmation by the depositary and verification that shares tendered through guaranteed delivery are received within the one-business-day delivery period. Payment for accepted shares will be made in cash, without interest and subject to applicable withholding, promptly after the confirmation process is complete.
