Oceaneering tender offer draws 79.95% of its 6% senior notes
Oceaneering International, Inc. (NYSE: OII) announced the expiration and results of its cash tender offer to purchase any and all of its outstanding 6.000% Senior Notes due 2028, with holders tendering $399,774,000 in principal amount, or 79.95% of the $500,000,000 outstanding.
The offer expired at 5:00 p.m. New York City time on June 30, 2026. The purchase price was $1,018.46 per $1,000 in aggregate principal amount, plus accrued and unpaid interest up to, but not including, the expected settlement date of July 6, 2026.
Settlement is contingent on the closing of Oceaneering's previously announced private placement of $500,000,000 in aggregate principal amount of 6.875% Senior Notes due 2034, also expected to close on July 6, 2026, subject to customary closing conditions.
Oceaneering said it intends to redeem all remaining outstanding 6.000% Senior Notes not purchased in the tender offer. The company issued a conditional notice of full redemption for any notes remaining outstanding following the offer, with redemption expected on or around July 25, 2026.
J.P. Morgan Securities LLC served as dealer manager for the offer, and Global Bondholder Services Corporation acted as depositary and information agent.
