Vishay Intertechnology launches $750M common stock offering
Vishay Intertechnology, Inc. (NYSE: VSH) announced a proposed underwritten public offering of $750 million in shares of its common stock, according to a press release dated June 29, 2026.
The company plans to grant underwriters a 30-day option to purchase up to an additional $112.5 million in shares. All shares in the offering are being sold by Vishay.
Vishay said it intends to use the net proceeds to accelerate growth initiatives and for general corporate purposes, including reducing current borrowings under its senior secured credit facility.
J.P. Morgan is acting as lead book-running manager. Needham & Company, Oppenheimer & Co., Raymond James, TD Cowen, and Truist Securities are serving as book-running managers. Fifth Third Securities, MUFG, Santander, and UniCredit are serving as co-managers.
The offering is being made under a shelf registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission on June 29, 2026, which became effective upon filing. The company noted the offering is subject to market and other conditions, with no assurance as to whether or when it will be completed.
