Paramount Skydance extends bond offer deadlines to July 15
Paramount Skydance Corporation (NASDAQ: PSKY) has extended the expiration dates for its previously announced tender offers and exchange offers related to its planned acquisition of Warner Bros. Discovery, Inc., moving the deadline to 5:00 p.m. New York City time on July 15, 2026, unless further extended.
The offers involve notes issued by Discovery Global Holdings, Inc. (formerly WarnerMedia Holdings, Inc.) and Discovery Communications, LLC. Under the tender offers, Paramount is seeking to purchase notes for cash, while the exchange offers would swap existing notes for newly issued Paramount securities.
As of 5:00 p.m. New York City time on June 25, 2026, approximately 24.38% of the aggregate principal amount of the existing tender offer notes and 44.27% of the existing exchange offer notes had been validly tendered. Paramount stated it does not view these figures as representative of the final results, given its intention to further extend the offers to align with the closing date of the acquisition.
Settlement dates are anticipated to occur in the third quarter of 2026, promptly after the expiration date. Paramount said it anticipates continuing to extend the expiration date so that settlement aligns with the acquisition closing date or within one business day of it. Holders may withdraw tendered notes at any time prior to the expiration date.
The extension follows a prior extension announced on June 12, 2026. BofA Securities and Citigroup are serving as dealer managers for the offers. Global Bondholder Services Corporation is acting as exchange agent and information agent.
