CoStar Group stockholders reelect all directors at annual meeting

CoStar Group (NASDAQ: CSGP) announced that stockholders voted to reelect all eight director nominees and approved an advisory say-on-pay proposal at the company's annual meeting held on June 23, 2026.

All director nominees received strong support, with vote totals ranging from 93.92% to 99.50%. Christine M. McCarthy received the highest share of votes at 99.50%, followed by Andrew C. Florance at 99.46% and Rachel C. Glaser at 99.34%. Louise S. Sams received the lowest share among nominees at 93.92%.

The advisory vote on executive compensation passed with 71.38% of votes in favor. The company said its board chair and compensation committee chair conducted outreach to its top 50 stockholders, representing 77% of outstanding shares, regarding governance and executive compensation matters. Following that engagement, the board approved a redesigned executive compensation program for 2026 that the company said features more quantitative goals, enhanced transparency, and a simplified structure.

Florance, founder and chief executive officer, said the board unanimously approved a plan earlier in the year to deliver revenue growth and prioritize EBITDA margin expansion, and that management held face-to-face meetings with over 500 stockholders to communicate strategic priorities.

Final voting results will be filed with the Securities and Exchange Commission in a Current Report on Form 8-K.
