AMC Entertainment closes $200M stock offering, to retire 2027 notes
AMC Entertainment Holdings (NYSE: AMC) closed a registered direct offering of 95,250,000 shares of common stock, raising approximately $200 million in gross proceeds before agent fees and expenses, according to a press release from the company.
AMC said it intends to use a portion of the proceeds to call and redeem all $125.5 million in aggregate principal of its 6.125% Senior Subordinated Notes due 2027. The company said the redemption would reduce annual cash interest expense by approximately $7.7 million and that it does not anticipate any material debt principal repayments due before 2029.
The remaining proceeds are to be used for general corporate purposes, including potential repayment of other debt, strengthening cash reserves, and capital investments in theatre upgrades such as seating improvements and additional premium screens.
Adam Aron, Chairman and CEO of AMC Entertainment, said in a statement, "The successful completion of this Offering provides AMC with approximately $200 million of gross proceeds, meaningfully strengthens our balance sheet and cash position, and allows AMC to make some attractive growth-oriented investments as soon as this autumn at some of our already higher-grossing theatres."
Roth Capital Partners served as the sole placement agent for the offering. The shares were offered under a shelf registration statement on Form S-3 originally filed with the Securities and Exchange Commission on February 9, 2026.
