REalloys announces $100 million private placement of common stock
REalloys Inc. (Nasdaq: ALOY) has entered into a securities purchase agreement with institutional investors for the sale of common stock, targeting aggregate gross proceeds of approximately $100 million, according to a company statement.
The offering is expected to close on or about June 26, 2026, subject to customary closing conditions. The company said it intends to use the net proceeds for working capital and general corporate purposes.
Clear Street LLC is serving as the sole placement agent for the offering. Haynes and Boone, LLP is acting as legal counsel to REalloys, while Paul Hastings LLP is representing Clear Street LLC.
The securities have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption. REalloys said it has agreed to file a registration statement with the Securities and Exchange Commission to register the resale of the shares sold in the private placement.
REalloys is based in Euclid, Ohio, and describes itself as a rare earth company focused on a mine-to-magnet supply chain in North America.
