InMode receives $16.20-per-share buyout proposal from CEO-led group
InMode Ltd. (NASDAQ: INMD) confirmed that its board of directors received an unsolicited acquisition proposal on June 17, 2026, from M.N. Business Strategy, Ltd., a group that includes the company's co-founder and Chief Executive Officer, Moshe Mizrahy.
The proposal seeks to acquire all outstanding ordinary shares of the Israel-based medical device company not already held by M.N. Business Strategy and its affiliates for $16.20 per share in cash.
The board has formed a special committee composed solely of independent directors to evaluate the proposal. The committee will work with advisors to assess the offer in accordance with its fiduciary duties and the interests of all shareholders.
The company stated there is no assurance that the review will result in a transaction or any other strategic outcome, and it does not intend to provide further updates unless required by law or regulation.
