Fiserv tender offer draws $1.33B in notes by expiration

Fiserv, Inc. (NASDAQ: FISV) announced the expiration and results of its cash tender offers for two series of outstanding senior notes, according to a company statement.

The offers, which expired June 23, 2026, targeted any and all of Fiserv's 5.150% Senior Notes due 2027 and 4.400% Senior Notes due 2049. A total of $1,330,795,000 in aggregate principal amount of notes was validly tendered by the expiration date, excluding $22,771,000 in notes submitted through guaranteed delivery procedures.

Of the $750,000,000 outstanding in 2027 Notes, $516,181,000 was tendered, with an additional $1,801,000 submitted via guaranteed delivery. Of the $2,000,000,000 outstanding in 2049 Notes, $814,614,000 was tendered, with $20,970,000 submitted via guaranteed delivery.

The purchase price is $1,005.65 per $1,000 principal amount for the 2027 Notes and $797.61 per $1,000 principal amount for the 2049 Notes. Holders whose notes are accepted will also receive accrued and unpaid interest up to, but not including, the settlement date.

Notes submitted through guaranteed delivery procedures must be validly tendered by 5:00 p.m. New York time on June 25, 2026. The settlement date is expected to be June 26, 2026.

The tender offers were initiated under an Offer to Purchase dated June 16, 2026. Citigroup Global Markets, J.P. Morgan Securities, TD Securities, and Wells Fargo Securities served as lead dealer managers.
