Allegiant Travel gets majority consent in notes tender offer
Allegiant Travel Company (NASDAQ: ALGT) said it received tenders for $377,534,000 in aggregate principal amount of its 7.250% Senior Secured Notes due 2027, representing 93.68% of the $403,009,000 outstanding, ahead of the early tender deadline of June 23, 2026.
The company said the consents received are sufficient to effect proposed amendments to the indenture governing the notes, which include eliminating most restrictive covenants and certain events of default, and reducing the minimum notice period for redemptions from 30 days to three business days.
Holders who tendered by the early deadline are eligible to receive total consideration of $1,005.00 per $1,000 principal amount, comprising a tender offer consideration of $955.00 and an early tender premium of $50.00. Holders tendering after the early deadline but before the expiration time of 5:00 p.m. New York City time on July 9, 2026, will be eligible to receive only the $955.00 tender offer consideration.
The company said it expects initial settlement for early-tendered notes to occur on June 24, 2026, subject to conditions including the successful completion of one or more debt financings.
For notes not purchased in the tender offer, Allegiant said it may, but is not obligated to, redeem all remaining outstanding notes on August 15, 2026, at 100% of principal plus accrued interest. Barclays Capital Inc. is acting as dealer-manager and solicitation agent for the transaction.
