CBAK Energy redomiciles from Nevada to the Cayman Islands

CBAK Energy Technology, Inc. (NASDAQ: CBAT) completed its redomiciliation from Nevada to the Cayman Islands on June 23, 2026, according to a press release from the company.



The merger became effective at 8:00 a.m. Pacific Daylight Time. Each outstanding share of common stock was converted into one ordinary share of CBAK Energy Technology Limited, a newly incorporated Cayman Islands entity that serves as the successor issuer under Rule 12g-3 of the Securities Exchange Act of 1934. The ordinary shares will continue to trade on the Nasdaq Capital Market under the ticker symbol "CBAT."



The company stated the redomiciliation did not alter its business operations, management team, employees, production facilities, customer and supplier relationships, or consolidated assets and liabilities. Existing equity incentive plans and outstanding awards were assumed by the Cayman Islands entity on substantially the same terms.



The company cited reductions in operational, administrative, legal, and accounting costs, along with simplified corporate administration, as reasons for the change. It also stated the Cayman structure is expected to streamline governance procedures and provide flexibility for future corporate transactions.



"Moving our place of incorporation to the Cayman Islands brings the legal structure of the parent company closer to the international profile of our business," said Zhiguang Hu, Chief Executive Officer. "The change is intended to reduce certain recurring public-company costs and simplify corporate administration. It does not alter our operations, management team or business plans."



CBAK Energy is a lithium-ion battery manufacturer based in Dalian, China, with operating subsidiaries in Dalian, Nanjing, Shaoxing, and Shangqiu.
