Fiserv prices tender offers for $2.75B in outstanding senior notes

Fiserv, Inc. (NASDAQ: FISV) announced the pricing of tender offers to purchase for cash any and all of its outstanding 5.150% Senior Notes due 2027 and 4.400% Senior Notes due 2049, according to a company statement dated June 23, 2026.

The 2027 Notes carry an aggregate principal amount outstanding of $750 million. The consideration was set at $1,005.65 per $1,000 principal amount, based on a reference yield of 4.186% derived from the 4.000% U.S. Treasury due May 31, 2028, plus a fixed spread of 5 basis points.

The 2049 Notes carry an aggregate principal amount outstanding of $2 billion. The consideration was set at $797.61 per $1,000 principal amount, based on a reference yield of 4.959% derived from the 5.000% U.S. Treasury due May 15, 2046, plus a fixed spread of 108 basis points.

Both considerations were calculated as of 2:00 p.m. New York City time on June 23, 2026, using a settlement date of June 26, 2026. Accrued and unpaid interest will be paid separately on all notes accepted for purchase.

The offers expired at 5:00 p.m. New York City time on June 23, 2026, unless extended or terminated by the company. The offers are not conditioned on any minimum amount of notes being tendered. Fiserv expects to settle payments on June 26, 2026.

Citigroup Global Markets, J.P. Morgan Securities, TD Securities, and Wells Fargo Securities are serving as lead dealer managers for the tender offers.
