Creatd files Form S-1 and reports Q1 2026 financial results

Creatd, Inc. (OTCQB: CRTD) filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission and released its quarterly financial results for the period ended March 31, 2026, according to a company statement.

For the first quarter, Creatd reported revenue of approximately $204,000 and gross profit of approximately $202,000. The company ended the quarter with approximately $250,000 in cash and cash equivalents and total current assets of approximately $10.9 million. Total assets stood at approximately $12.1 million as of March 31, 2026.

The balance sheet includes a preferred stock receivable valued at approximately $5.6 million and a promissory note receivable valued at approximately $4.8 million, both stemming from the previously announced disposition of Flyte to Catheter Precision, Inc. (NYSE: VTAK). During the quarter, Creatd generated approximately $981,000 of cash from investing activities.

The quarter included approximately $11.3 million in non-cash stock-based compensation expense and approximately $1.2 million of debt discount accretion, which the company said materially impacted reported net income but did not affect its cash position.

The Form S-1 filing is part of Creatd's effort to re-establish SEC reporting status. The company has stated its intention to seek an uplisting to a national securities exchange.

Founder and CEO Jeremy Frommer converted certain warrant and preferred stock holdings into common stock. The company said all preferred stockholders and certain warrant holders will have the opportunity to make similar conversions as part of its uplisting strategy.

Creatd revised its 2026 Annual Meeting of Shareholders record date to June 26, 2026, with the meeting now scheduled for August 3, 2026. The company also announced an investor call scheduled for July 7, 2026.
