BTQ Technologies launches ATM program to sell up to C$150M in shares

BTQ Technologies Corp. (Nasdaq: BTQ, Cboe CA: BTQ) has established an at-the-market equity program to offer and sell up to C$150 million worth of common shares, according to a press release dated June 18, 2026.

Sales will be conducted under a Controlled Equity Offering Sales Agreement signed June 18, 2026, with Cantor Fitzgerald Canada Corporation acting as Canadian agent and Cantor Fitzgerald & Co. serving as U.S. agent. Shares may be sold on Cboe Canada, the Nasdaq Global Market, or other eligible marketplaces in Canada and the United States.

The company stated it intends to use net proceeds for working capital and to strengthen its balance sheet, with potential use toward future acquisitions.

The agents are not required to sell any specific number or dollar amount of shares, and there is no minimum amount of funds that must be raised. The volume and timing of any sales will be determined at the company's discretion at the prevailing market price. The company may also instruct agents to halt sales if prices fall below a designated threshold.

The program will remain effective until all shares are sold, the Sales Agreement is terminated, or the Canadian base shelf prospectus expires.
