Centrus Energy extends tax protection rights plan through 2029

June 18, 2026 4:41 PM

Centrus Energy Corp. (NYSE American: LEU) announced it has entered into a seventh amendment to its Section 382 Rights Agreement, extending the plan through June 30, 2029, following stockholder approval at its 2026 annual meeting held on June 18.

The Rights Agreement is designed to preserve the company's tax assets associated with net operating loss carryforwards under Section 382 of the Internal Revenue Code. Under U.S. federal income tax rules, a company's ability to use such tax assets can be substantially limited if it experiences an "ownership change," which occurs when ownership of the company's stock by "5 percent stockholders" increases by more than 50 percentage points over the lowest percentage held by such stockholders during the prior three years on a rolling basis.

The company said it plans to file a Current Report on Form 8-K and an amendment to its Registration Statement on Form 8-A with the Securities and Exchange Commission with additional details regarding the amendment.
