CoreWeave closes $1.25B and €2B senior notes offering

CoreWeave (NASDAQ: CRWV) completed a private debt offering on June 18, 2026, issuing two tranches of senior notes totaling $1.25 billion in U.S. dollar-denominated securities and €2 billion in euro-denominated securities, according to a company statement.

The dollar-denominated 9.625% Senior Notes and the euro-denominated 8.500% Senior Notes both mature on July 15, 2032. Interest is payable semi-annually on January 15 and July 15 each year, beginning January 15, 2027, with interest accruing from June 18, 2026.

The notes were sold to qualified institutional buyers under Rule 144A of the Securities Act of 1933. U.S. Bank Trust Company, National Association, serves as trustee for both tranches.

CoreWeave said it intends to use the proceeds for general corporate purposes, including repayment of existing debt and payment of fees and expenses related to the offering.

The senior notes are guaranteed on a senior unsecured basis by certain wholly-owned subsidiaries of CoreWeave, as well as future domestic restricted subsidiaries that guarantee the company's existing revolving credit facility.

CoreWeave retains the option to redeem all or part of the notes before July 15, 2029, at 100% of principal plus a make-whole premium. On or after that date, redemptions may occur at prices specified in the indentures. Up to 40% of either tranche may be redeemed before July 15, 2029, using proceeds from certain equity offerings.

In the event of a qualifying change of control, noteholders may require CoreWeave to repurchase the notes at 101% of principal plus accrued interest.
