Paramount Skydance gets U.S. and international merger clearances for WBD deal
Paramount Skydance Corporation (NASDAQ: PSKY) has received several regulatory approvals for its planned merger with Warner Bros. Discovery, Inc., according to a company statement.
The U.S. Department of Justice's Antitrust Division closed its investigation into the merger on June 12, 2026, concluding that the transaction is "not likely to result in harm to competition or American consumers." The DOJ's review covered streaming video on demand, linear television, and studio development, production, and distribution of films for theatrical release.
On June 17, 2026, China's Anti-Monopoly Enforcement Department II of the State Administration for Market Regulation granted unconditional clearance for the deal. Spain's General Directorate on Commercial Policy and Economic Security issued an unconditional approval in the form of a no-jurisdiction confirmation on June 11, 2026.
Under the terms of the merger agreement, signed February 27, 2026, PSKY's wholly owned subsidiary, Prince Sub Inc., will merge with and into Warner Bros. Discovery, with Warner Bros. Discovery surviving as a wholly owned subsidiary of PSKY.
