Profusa urges shareholders to vote for all proposals at annual meeting

June 10, 2026 8:02 AM

Profusa Inc. (NASDAQ: PFSA) issued a letter to shareholders encouraging support for all proposals at its June 23, 2026 annual meeting. The digital health company's board of directors unanimously recommends voting for the proposals.

Chairman and Chief Executive Officer Ben Hwang stated the proposals are intended to support the company's efforts to maintain its Nasdaq listing, enable securities issuance for the previously announced PanOmics asset acquisition, satisfy Nasdaq shareholder approval requirements for financing arrangements, and provide flexibility for equity compensation programs.

The Berkeley, California-based company announced an agreement to acquire assets relating to the PanOmics Assay platform, which it expects to expand its capabilities in precision diagnostics and health intelligence markets.

According to the letter, failure to approve the proposals could limit fiscal flexibility, delay strategic initiatives, create additional costs and uncertainty, and impact the company's ability to execute future plans.

Profusa develops tissue-integrated sensors that detect and transmit medical-grade data. The company operates as a commercial stage digital health firm focused on injectable biosensors and data platforms for personal and medical use.

Shareholders who hold shares through brokers must provide voting instructions, as brokers cannot vote on these proposals without shareholder direction. The company has retained Advantage Proxy Inc. to assist with shareholder voting.
