Accendra Health receives tenders for 99% of outstanding senior notes

Accendra Health Inc. (NYSE: ACH) announced that it received tenders representing approximately 99.9% of its outstanding 4.500% Senior Notes due 2029 and 99.2% of its 6.625% Senior Notes due 2030 in its exchange offers as of June 9, 2026.

The company received valid tenders totaling approximately $478.3 million in aggregate principal amount of 2029 Notes and $547.9 million of 2030 Notes, according to a statement based on information from Epiq Corporate Restructuring, the exchange agent.

Under the exchange offers, eligible holders of 2029 Notes participating in a new money issuance can exchange their notes for newly issued 9.000% Senior Secured First Lien Notes due 2032 and 9.750% Senior Secured Second Lien Notes due 2033. Other eligible holders will receive Second Lien Notes.

The company also received the required consents to eliminate substantially all affirmative and negative covenants in the existing note indentures, modify merger and consolidation covenants, and eliminate certain events of default provisions.

In connection with the 2029 Notes exchange, Accendra offered $326.25 million in aggregate principal amount of newly issued First Lien Notes for cash. The company reported that approximately $124.0 million in 2029 Notes were tendered by new money participants, $332.0 million by backstop participants, and $22.3 million by other eligible participants.

The company extended the expiration time for the offers to June 23, 2026, with an expected early settlement date of June 15, 2026, for notes tendered by the June 9 deadline.
