eXoZymes prices $5.33 million public offering at $18 per unit
eXoZymes Inc. (NASDAQ: EXOZ) announced the pricing of its public offering of 296,135 units at $18.00 per unit, with each unit consisting of two shares of common stock and one warrant to purchase one additional share.
The biotechnology company expects to raise approximately $5.33 million in gross proceeds before deducting underwriting discounts, commissions and offering expenses. The offering is scheduled to close on June 9, 2026, subject to customary closing conditions.
Each warrant becomes exercisable one year after the offering date at an exercise price of $11.24 per share and expires five years from issuance. The company may redeem the warrants for $0.01 per underlying share if its common stock trades at $17.98 per share or higher for 20 trading days within any 30-day period after the warrants become exercisable.
The warrant exercise price may reset to $0.001 per share if eXoZymes sells additional securities at less than $8.99 per share within 12 months of this offering, provided original unit purchasers retain their common stock until the reset event.
MDB Capital serves as underwriter and sole book-running manager for the offering. The underwriter has a 45-day option to purchase up to 44,420 additional units to cover over-allotments.
eXoZymes plans to use proceeds to develop N-trans-caffeoyltyramine opportunities, research and development, and general corporate purposes. The company develops AI-enhanced enzymes that transform feedstock into nutraceuticals and medicines using its exozyme biomanufacturing platform.
The offering is conducted under a registration statement filed with the Securities and Exchange Commission that became effective on January 23, 2026.
