Jet.AI receives ISS recommendation for flyExclusive merger

Jet.AI Inc. (NASDAQ: JTAI) announced that Institutional Shareholder Services has recommended stockholders vote in favor of the proposed merger with flyExclusive, Inc. at the special meeting scheduled for June 11, 2026.

The ISS recommendation follows an earlier favorable recommendation from Glass, Lewis & Co., giving the merger support from both proxy advisory firms. Jet.AI provides GPU infrastructure and AI cloud services.

"We are extremely pleased to receive this positive recommendation from ISS, coming on the heels of Glass Lewis' earlier recommendation," said Executive Chairman Mike Winston in a statement. "The endorsement of both leading proxy advisory firms underscores the compelling nature of this transaction and the value it represents for our stockholders."

The merger requires an affirmative vote from a majority of outstanding shares of Jet.AI common stock. Not voting has the same effect as voting against the proposal, according to the company.

The special meeting will take place virtually on June 11, 2026. Stockholders as of the May 8, 2026 record date are entitled to vote. The company has provided online, phone and mail voting options ahead of the meeting.

Jet.AI and flyExclusive filed a definitive proxy statement and prospectus with the SEC on May 4, 2026. The merger agreement was originally dated May 6, 2025, and flyExclusive's registration statement was declared effective on April 30, 2026.

Laurel Hill Advisory Group is serving as the proxy solicitor for the transaction.
