SenesTech reduces proposed equity plan share increase to 1.2 million
SenesTech Inc. (NASDAQ: SNES) announced that its board of directors approved an amendment to reduce the number of new shares proposed for its 2018 Equity Incentive Plan from 1.7 million to 1.2 million shares, according to a company statement.
The revision comes ahead of the company's annual stockholder meeting scheduled for June 9, 2026, where shareholders will vote on the equity plan amendment. The original proposal was disclosed in the company's proxy statement filed April 29, 2026.
The board stated the decision followed a review of the company's anticipated equity compensation needs, current market conditions and stockholder considerations. The company filed additional proxy materials with the Securities and Exchange Commission on May 27, 2026, containing information about the revised proposal.
Stockholders who previously voted in favor of Proposal No. 3 will be deemed to have voted for the revised version and do not need to take additional action unless they wish to change their vote. The proposal seeks to increase shares available for future equity awards under the existing plan.
