Dorman Products announces $450 million senior notes offering due 2034
Dorman Products Inc. (NASDAQ: DORM) announced the commencement of a private offering of $450 million aggregate principal amount of senior notes due 2034. The automotive aftermarket parts supplier said the offering is subject to market and other conditions, with interest rates and other terms to be determined at pricing.
The notes will be guaranteed by Dorman's existing and future wholly-owned domestic subsidiaries that serve as guarantors under the company's credit agreement and certain other debt, subject to exceptions.
Dorman plans to use net proceeds from the offering to repay debt under existing credit facilities and for general corporate purposes with any remaining funds.
The offering will be conducted as a private transaction under Securities Act exemptions, targeting qualified institutional buyers and certain non-U.S. investors. The notes have not been registered under the Securities Act and cannot be offered or sold in the United States without registration or applicable exemptions.
The Colmar, Pennsylvania-based company supplies replacement parts for motor vehicles and has operated for over 100 years in the aftermarket industry.
