ADL and JLens oppose Alphabet shareholder proposal targeting Israel contract

The Anti-Defamation League and JLens, a registered investment advisor, urged Alphabet Inc. (NASDAQ: GOOG) shareholders to vote against Proposal 11 at the company's June 5, 2026 annual meeting, according to a press release statement.

The proposal requests Alphabet to report on data risks from "governmental overreach" but specifically names only one government contract: Project Nimbus, Alphabet's cloud agreement with the Israeli government. ADL and JLens stated the selective focus mirrors the approach of the Boycott, Divestment and Sanctions movement.

Alphabet's Board of Directors has recommended shareholders vote against Proposal 11. Independent proxy advisory firms Institutional Shareholder Services and Glass Lewis also recommended voting against the proposal.

"Alphabet provides cloud services to governments around the world, including the most sensitive U.S. defense and intelligence systems, yet this proposal reserves its one named government contract for Israel's Project Nimbus," said Jonathan A. Greenblatt, CEO and National Director of ADL.

ADL and JLens characterized the proposal as misrepresenting Project Nimbus by portraying it primarily as a military initiative while giving minimal attention to civilian applications. The organizations noted the proposal does not address Israel's need for cloud and AI technologies following the October 7, 2023 attacks.

A similar proposal received approximately 4.5% support from Alphabet shareholders in 2025. JLens Managing Director Ari Hoffnung stated that government and defense customers require confidence that contracts will not be subject to outside political pressure.

JLens and ADL filed a Notice of Exempt Solicitation with the U.S. Securities and Exchange Commission detailing their opposition to Proposal 11.
