Amber International receives share distribution from major shareholder
Amber International Holding Limited (NASDAQ: AMBR) announced that Amber Global Limited will distribute all of its holdings in the company to its existing shareholders on a pro rata basis. The distribution is expected to be completed on June 1, 2026.
The share distribution does not involve issuing new shares and will not dilute existing shareholders. Amber Global's holdings will be distributed to its shareholders based on their equity interests, making them direct shareholders of Amber International.
Following the distribution, Amber Global will no longer hold shares in the company. The company's total outstanding share capital and the rights of Class A and Class B ordinary share holders remain unchanged.
The distribution will place institutional investors on Amber International's direct shareholder register, including sovereign wealth funds, venture capital firms, growth funds, and strategic corporate partners. These investors were previously economic stakeholders through Amber Global.
"The Share Distribution will give our public shareholders, analysts, and prospective institutional clients a more direct view of the caliber of investors that have supported Amber International since our earlier stages," said Michael Wu, chairman and chief executive officer.
The company's board of directors authorized the corporate actions necessary for the distribution, as disclosed in a Form 6-K filing with the Securities and Exchange Commission on June 1, 2026.
Amber International operates under the Amber Premium brand and describes itself as a digital wealth management platform serving high-net-worth individuals and institutions. The company is a subsidiary of Amber Group.
