Gauzy receives second NASDAQ compliance notice for delayed annual filing

Gauzy Ltd. (NASDAQ: GAUZ) received a notice from Nasdaq on May 19 stating the company failed to file its annual report on Form 20-F for fiscal year 2025 with the Securities and Exchange Commission by the required deadline.

The notice represents the second compliance issue for the Tel Aviv-based vision and light control technology company. Gauzy previously disclosed receiving a notice regarding non-compliance with Nasdaq's minimum bid price requirement.

The company's ordinary shares will continue trading on Nasdaq under the ticker symbol "GAUZ," but Gauzy will be added to Nasdaq's public list of non-compliant companies. A non-compliance indicator will be broadcast over Nasdaq's market data network.

Under Nasdaq listing rules, Gauzy has 60 calendar days from the notice date, until July 20, 2026, to submit a compliance plan. If Nasdaq accepts the plan, the exchange may grant an exception of up to 180 calendar days from the original Form 20-F due date, extending the deadline to November 11, 2026.

Should Nasdaq reject the compliance plan, Gauzy can appeal to a Hearing Panel. Failure to regain compliance within applicable timeframes could result in delisting from Nasdaq.

The company stated it is working to complete and file the 2025 Form 20-F and intends to submit its compliance plan within the prescribed timeframe. Gauzy noted the notice does not affect business operations or strategic initiatives, though the company provided no assurance it can file the Form 20-F within any applicable cure period.
