La Rosa Holdings receives Nasdaq deficiency notice for late filings

May 22, 2026 5:16 PM

La Rosa Holdings Corp. (NASDAQ: LRHC) received a deficiency notification from Nasdaq on May 21, 2026, for failing to file required periodic reports with the Securities and Exchange Commission.

The real estate and PropTech company violated Nasdaq Listing Rule 5250(c)(1) by not timely filing its quarterly report on Form 10-Q for the quarter ended March 31, 2026, and remaining delinquent in filing its annual report on Form 10-K for the year ended December 31, 2025.

Nasdaq has given La Rosa Holdings until June 15, 2026, to submit a compliance plan. Following receipt of such plan, Nasdaq may grant an extension of up to 180 calendar days from the annual report's due date, or until October 12, 2026, for the company to regain compliance.

The company stated it intends to file both delinquent reports and submit the compliance plan by the June 15 deadline. Filing the reports would eliminate the need for a formal compliance plan, according to the company's statement based on a press release.

La Rosa Holdings acknowledged that there can be no assurance the reports will be filed within the required period or that Nasdaq will grant the requested extension.

The company operates 24 corporate-owned brokerage offices across Florida, California, Texas, Georgia, and Puerto Rico, with additional franchised and affiliated locations. It also runs operations in Spain and operates an escrow settlement and title company in Florida.
