Vishay Precision Group CFO to retire, executive pay changes announced

Vishay Precision Group Inc. (NYSE: VPG) announced that Chief Financial Officer William M. Clancy will retire effective December 31, 2026. The company entered into a transition agreement with Clancy on May 19, 2026.

Under the separation agreement, Clancy will receive base salary continuation until June 30, 2028, COBRA premium payments, his fiscal year 2026 annual bonus, and accelerated vesting of certain restricted stock units. Time-based restricted stock units will vest fully, while performance-based units will vest partially depending on grant year and performance criteria achievement.

The company also amended employment agreements for several executives. Chief Executive Officer Ziv Shoshani will receive annual equity awards valued at approximately 225% of his base salary and cash bonuses targeting 100% of base salary with a maximum of 150% based on performance goals.

Chief Accounting Officer Amir Tal's amended agreement includes annual equity awards valued at approximately 100% of his base salary, with compensation tied to company and individual performance metrics.

Vishay Advanced Technologies entered into new employment agreements with two executives. Chief Business and Product Officer Yair Alcobi will receive an annual base salary of 1,372,800 New Israeli Shekels, equity awards valued at 100% of base salary, and cash bonuses targeting 65% of base salary with a maximum of 105%.

Chief Operating Officer Rafi Ouzan's agreement includes an annual base salary of 1,150,763 New Israeli Shekels, with similar equity and bonus structures as Alcobi. Both executives' equity awards will be split equally between time-based and performance-based restricted stock units.

Both new agreements include severance packages providing 18 months of base salary continuation and accelerated vesting of equity awards if terminated without cause or if they resign with good reason. The agreements contain 12-month non-competition and non-solicitation provisions following employment termination.
