Global Mofy AI Limited (NASDAQ: GMM) announced the pricing of a registered direct offering totaling approximately $8 million in gross proceeds. The Beijing-based generative AI technology solutions provider set the offering price at $0.97 per Class A ordinary share and accompanying warrants.

The offering consists of 8,247,420 Class A ordinary shares, 8,247,420 series A warrants, and 8,247,420 series B warrants. Each series of warrants allows the purchase of up to 8,247,420 Class A ordinary shares.

Global Mofy plans to use net proceeds for general corporate purposes, including working capital, product development, and expansion of its AI-powered technology platforms and related infrastructure. The company develops virtual content and 3D digital assets for applications in movies, television, gaming, and advertising.

The offering is expected to close on or around May 26, 2026, subject to customary closing conditions. D. Boral Capital serves as the exclusive placement agent for the transaction.

The securities are being offered under a shelf registration statement on Form F-3 that was declared effective by the Securities and Exchange Commission on March 18, 2026. Global Mofy operates the "Mofy Lab" technology platform and maintains a digital asset bank containing more than 150,000 high-precision 3D digital assets.
