Lumen extends early participation date for bond exchange offers

Lumen Technologies Inc. (NYSE: LUMN) and its subsidiary Qwest Corporation extended the early participation date and withdrawal deadline for previously announced exchange offers from May 15, 2026 to May 22, 2026 at 5 p.m. ET.

The companies are offering to exchange Qwest's 6.5% Notes due 2056 and 6.75% Notes due 2057 for new notes with the same interest rates and maturity dates. The new notes will be guaranteed by Lumen on an unsecured basis.

The exchange offers will expire on May 26, 2026 at 5 p.m. ET, unless extended. All other terms of the exchange offers and related consent solicitations remain unchanged from the original announcement.

Qwest and Lumen are also seeking consents to amend the indentures governing the existing notes. The companies filed a Registration Statement on Form S-4 with the Securities and Exchange Commission for the new notes.

The completion of each exchange offer depends on several conditions, including SEC effectiveness of the registration statement and absence of legal impediments to the exchange.

D.F. King & Co. Inc. serves as information agent and exchange agent for the offers, while Morgan Stanley & Co. LLC acts as dealer manager. The companies stated they make no recommendation regarding whether noteholders should participate in the exchange offers.
