RCI Hospitality regains NASDAQ compliance, delays quarterly filing
RCI Hospitality Holdings Inc. (NASDAQ: RICK) received notification from NASDAQ that it has regained compliance with listing requirements after filing its first quarter 2026 Form 10-Q on May 7, 2026.
The Houston-based company received a letter from NASDAQ's Listing Qualifications Department on May 8, 2026, confirming compliance with Listing Rule 5250(c)(1). The matter with NASDAQ is now closed, according to the company's statement.
RCI also filed a Form 12b-25 indicating it will be unable to timely file its Form 10-Q for the second quarter ended March 31, 2026. The company stated it has not had sufficient time to complete the quarterly report without unreasonable effort and expense.
The company said it is working to complete and file the 10-Q but does not expect to file within the Rule 12b-25 extension period. Form 12b-25 provides companies with an automatic 15-day extension for quarterly reports and 5-day extension for annual reports.
RCI operates more than 60 adult nightclubs and sports bar-restaurant locations. The company's fiscal year ends September 30, making the first quarter period December 31, 2025, and second quarter period March 31, 2026.
