Coursera completes acquisition of Udemy to create combined learning platform
Coursera Inc. (NYSE: COUR) announced the completion of its acquisition of Udemy Inc., creating a combined online learning platform serving 290 million learners and 18,000 enterprise customers.
Under the transaction terms, each Udemy share was exchanged for 0.800 shares of Coursera common stock. Former Coursera stockholders own approximately 59% of the combined company, while former Udemy stockholders own 41% on a fully diluted basis.
The combined entity projects annual revenue exceeding $1.5 billion in 2025. Coursera expects to achieve $115 million in annual cost synergies within 24 months of closing, with a majority realized in the first year.
Greg Hart continues as Chief Executive Officer and Mike Foley remains Chief Financial Officer. The board consists of nine directors, with six from Coursera and three from Udemy. Andrew Ng continues as Chairman.
The transaction, announced December 17, 2025, received stockholder approval from both companies on April 9, 2026. Coursera will continue trading under ticker "COUR" on the New York Stock Exchange, while Udemy's stock will be delisted from NASDAQ.
The combined platform includes 95,000 instructors and content creators alongside partnerships with universities and industry organizations. Coursera plans to announce a share repurchase program within two weeks.
Coursera, founded in 2012, offers online courses, specializations, professional certificates and degrees through partnerships with universities and industry leaders. The company became a Delaware public benefit corporation and certified B Corp.
