Carnival Corporation unifies dual structure, moves to bermuda

Carnival Corporation (NYSE: CCL) completed the unification of its dual listed company structure and moved its incorporation from Panama to Bermuda, the cruise operator announced May 7.



The company unified Carnival Corporation and Carnival plc under a single entity called Carnival Corporation Ltd., with Carnival plc becoming a UK subsidiary. Carnival Corporation also changed its jurisdiction of incorporation from Panama to Bermuda.



The restructuring creates a single global share price and streamlines governance and reporting while reducing administrative costs. The company expects the changes to increase liquidity and weighting in major US stock indexes.



Carnival Corporation shareholders retained the same number of shares in the new entity, which trades on the New York Stock Exchange under the symbol CCL. Carnival plc shareholders received one share of Carnival Corporation Ltd. for each Carnival plc ordinary share held as of 6:00 p.m. BST on May 5, 2026.



Trading of Carnival plc securities on the London Stock Exchange and NYSE was cancelled, and the company plans to deregister its securities with the Securities and Exchange Commission. Carnival plc will be re-registered as a private limited company following completion of the transactions.



Carnival Corporation operates cruise lines including AIDA Cruises, Carnival Cruise Line, Costa Cruises, Cunard, Holland America Line, P&O Cruises, Princess Cruises and Seabourn. The company is included in the S&P 500 index.
